Balloon Marketing – Terms of Business

These Terms of Business (“Terms”) govern the provision of services by Balloon Marketing Ltd (registered in England and Wales, Company No. 16279623, having its registered office at 2 John Jobson Road, Shavington, Crewe, England, CW2 5JD, referred to as “we”, “our” or “us”, to you as our client (“you” or “the client”). By engaging our services, you agree to be bound by these Terms.
1. Services
We provide marketing consultancy and delivery services including but not limited to strategy, branding, content creation, digital marketing, website development and support, social media management, marketing automation, SEO, and general marketing support. The specific services to be provided will be agreed in writing in advance via a proposal or service agreement.
2. Fees and Payment
All fees will be confirmed in writing prior to commencement.
Retainers are invoiced monthly, with payment terms agreed in advance. Project-based work may require a deposit of up to 50%.
Payment terms are strictly 14 days from the date of invoice unless otherwise agreed.
Late payments may incur a fee of 2.5% per month on the outstanding balance and/or the suspension of work until payment is received.
All prices are subject to VAT where applicable.
3. Scope and Amendments
Any changes to the agreed scope must be requested in writing and may result in a revised timeline or fee.
We will confirm any additional work required outside of the original brief before undertaking it.
4. Intellectual Property
All intellectual property rights in the work we create (excluding any third-party elements) will pass to you upon full payment of all fees.
We reserve the right to showcase completed work as part of our portfolio, unless agreed otherwise in writing.
5. Confidentiality
We will treat all confidential information provided by you with care and discretion.
You agree not to disclose any of our proprietary processes, tools or documentation without written consent.
If required, we are happy to enter into a separate Non-Disclosure Agreement (NDA). However, unless otherwise agreed, this clause shall serve as our mutual confidentiality commitment.
6. Timelines and Delays
We will use reasonable efforts to meet all agreed deadlines.
Delays caused by client inaction, late provision of content or sign-off may result in revised timelines.
7. Cancellation and Termination
Our standard termination period for retainers is 90 days to allow for a smooth transition and completion of in-progress work. In exceptional circumstances, this can be reduced by mutual agreement. Retainer agreements may be terminated by either party with written notice.
In the event of early termination of a project, you will be invoiced for any work completed up to the termination date.
8. Liability
While we take all reasonable care in the provision of our services, we shall not be liable for any indirect, incidental or consequential losses, or for any loss of profit, business, or goodwill.
Our total liability is limited to the fees paid to us for the specific project or service.
9. Data Protection
We comply with UK GDPR and all relevant data protection laws.

10. Third-Party Services
We may recommend or work with third-party providers. While we take care in who we recommend, we are not responsible for their actions or performance.
11. Force Majeure
We will not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, pandemics, internet failure, or government restrictions.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
13. Acceptance of Terms
By instructing us to begin work, you accept these Terms. A copy will be made available on our website and/or provided as part of your proposal.
